Please read these terms carefully before using the Cloud Ident platform. By accessing or using our services, you confirm that you have read, understood, and agree to be bound by these terms.

About Cloud Ident

Cloud Ident is a full-cycle digital marketing agency operated by Cloud Ident, accessible at cloud-ident.net.

We provide digital marketing services including but not limited to: search engine optimisation (SEO), pay-per-click advertising (PPC), social media marketing (SMM), content marketing, link building, and analytics & conversion rate optimisation (CRO).

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", "your") and Cloud Ident ("we", "us", "our") governing your access to and use of our website, platform, and associated services (collectively, the "Services").

Note: By submitting an enquiry, creating an account, or engaging Cloud Ident for any service, you confirm that you have read and agreed to these Terms in their entirety.

Eligibility

To use our Services, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are accessing our Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

The following persons are ineligible to use our Services:

  • Persons under the age of 18.
  • Persons or entities located in jurisdictions where the receipt of our services would be prohibited by law.
  • Persons who have previously had their access terminated for violations of these Terms.

We reserve the right to refuse service to anyone at our sole discretion.

Services & Scope

Cloud Ident provides the following categories of digital marketing services:

Service Description
SEO Technical audit, keyword strategy, on-page optimisation, and reporting.
PPC / Google Ads Campaign setup, management, bid optimisation, and performance reporting.
SMM & Paid Social Social media management, content creation, and paid social campaigns.
Content Marketing Articles, landing pages, email sequences, and editorial planning.
Link Building White-hat outreach and placement on quality third-party domains.
Analytics & CRO GA4 setup, tracking configuration, A/B testing, and conversion audits.

The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate Service Agreement or Statement of Work ("SOW") agreed upon in writing between Cloud Ident and the Client prior to the commencement of work.

Cloud Ident does not guarantee specific search engine rankings, advertising performance outcomes, or revenue results. Digital marketing involves inherent variables outside our control, including search engine algorithm changes, market conditions, and platform policy updates.

Important: No guarantees of specific ranking positions or revenue outcomes are implied or offered. Results vary by project, niche, competition level, and client-side factors.

Account Registration

Certain features of our platform and client portal require you to create a registered account. By registering, you confirm that:

  • All information you provide is accurate, current, and complete.
  • You will promptly update your information if it changes.
  • You will not share your login credentials with any third party.
  • You are solely responsible for all activity that occurs under your account.

You must notify us immediately at [email protected] if you suspect any unauthorised access to your account. Cloud Ident will not be liable for any loss or damage arising from your failure to protect your credentials.

We reserve the right to suspend or terminate accounts that contain inaccurate information or are used in violation of these Terms.

Acceptable Use

You agree to use our Services only for lawful purposes and in a manner consistent with these Terms. You agree not to:

  • Use our Services in connection with any unlawful, fraudulent, or deceptive activity.
  • Request services that violate the guidelines of Google, Meta, or any other third-party platform.
  • Provide false or misleading information about your business, products, or target audience.
  • Attempt to gain unauthorised access to our systems, client portal, or databases.
  • Reproduce, resell, or redistribute any deliverables, reports, or platform data without prior written consent.
  • Use automated tools to scrape or extract data from our website or client portal.
  • Engage in any conduct that may damage the reputation of Cloud Ident or its employees.

Violation of these provisions may result in immediate termination of your Service Agreement and potential legal action.

Pricing & Billing

All pricing for Cloud Ident services is agreed upon in writing prior to the commencement of any work. Pricing may be structured as a monthly retainer, project-based fee, or performance-based arrangement, as outlined in the relevant SOW.

Engagement Type Billing Model
Monthly Retainer Invoiced monthly in advance. Payment due within 14 days of invoice date.
Project-Based 50% deposit on signing; 50% on delivery or as agreed in the SOW.
Ad Spend Management Ad budget billed separately and passed through at cost. Management fee invoiced monthly.

All prices are quoted exclusive of VAT unless otherwise stated. Applicable taxes will be added to invoices in accordance with the laws of the relevant jurisdiction.

In the event of late payment, Cloud Ident reserves the right to suspend active campaigns and deliverables until the outstanding balance is settled. Accounts overdue by more than 30 days may incur a late payment fee of 1.5% per month on the outstanding balance.

Cloud Ident reserves the right to revise pricing for ongoing retainer agreements with a minimum of 30 days' written notice prior to the next billing cycle.

Data & Privacy

Our collection, use, and storage of your personal data is governed by our Privacy Policy, which forms part of these Terms and is incorporated herein by reference.

In the course of delivering our services, we may require access to your Google Analytics, Google Ads, Search Console, social media accounts, or other third-party platforms. You grant us the necessary access solely for the purpose of delivering the agreed services, and you may revoke access at any time upon termination.

Cloud Ident will not share your business data, campaign performance data, or account credentials with any third party except as required to deliver the services (e.g., specialist contractors operating under confidentiality obligations) or as required by law.

Intellectual Property

All tools, methodologies, proprietary frameworks, templates, and platform software used by Cloud Ident remain the exclusive intellectual property of Cloud Ident. These are licensed to the Client for use during the term of the engagement only and do not transfer to the Client upon termination.

Deliverables created specifically for a Client — such as written content, landing page copy, creative assets, and campaign structures — are the property of the Client upon receipt of full payment for the relevant project or period.

The Client warrants that all materials, branding assets, product information, and third-party content provided to Cloud Ident for use in campaigns are owned by or properly licensed to the Client, and do not infringe any third-party rights.

Cloud Ident reserves the right to reference completed work (in anonymised or attributed form, subject to Client approval) in its portfolio and marketing materials.

Disclaimers

Digital marketing results are inherently variable and depend on factors outside Cloud Ident's control, including but not limited to: search engine algorithm updates, changes to advertising platform policies, market competition, seasonal demand fluctuations, and the quality of the Client's own website and product offering.

No guarantee of results: Cloud Ident makes no warranty, express or implied, that any particular level of traffic, leads, rankings, or revenue will be achieved. All forecasts and projections are indicative only.

Third-party platforms: Cloud Ident is not responsible for changes to Google, Meta, or any other third-party platform's policies, algorithms, or pricing that may affect campaign performance.

Website and content: Cloud Ident is not liable for any technical issues, downtime, or penalties arising from the Client's own website, hosting infrastructure, or pre-existing content issues not disclosed at the time of engagement.

Our commitment: While specific outcomes cannot be guaranteed, Cloud Ident commits to applying industry best practices, transparent reporting, and continuous optimisation throughout every engagement.

Limitation of Liability

To the maximum extent permitted by applicable law, Cloud Ident, its directors, employees, contractors, and agents shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, business opportunity, or goodwill.
  • Losses arising from changes to third-party platform algorithms, policies, or pricing.
  • Losses attributable to the Client's own website, product, pricing, or market conditions.
  • Losses arising from the Client's failure to provide accurate information, timely feedback, or required access.

Our total aggregate liability to you for any claim arising under or in connection with these Terms or any SOW shall not exceed the total fees paid by you to Cloud Ident in the three (3) calendar months immediately preceding the claim.

Nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, or any other liability that cannot be excluded by applicable law.

Termination

Either party may terminate an ongoing service engagement by providing written notice as specified in the relevant SOW (typically 30 days for monthly retainers). During the notice period, both parties are expected to fulfil their obligations under the agreement.

Cloud Ident reserves the right to terminate services immediately and without refund in the event that the Client:

  • Breaches any material provision of these Terms or the relevant SOW.
  • Fails to make payment within 30 days of the invoice due date.
  • Engages in conduct that is unlawful, abusive, or damaging to Cloud Ident's reputation.
  • Provides materially false or misleading information in connection with the engagement.
  • Requests services that violate applicable law or third-party platform guidelines.

Upon termination, the Client retains ownership of all fully paid-for deliverables. Cloud Ident will revoke its access to the Client's accounts and platforms within 5 business days of the termination date.

Amendments to These Terms

Cloud Ident reserves the right to update or modify these Terms at any time. When material changes are made, we will notify active clients by email at least 14 days before the changes take effect.

Your continued use of our Services after the effective date of any amended Terms constitutes your acceptance of the revised Terms. If you do not agree to the amended Terms, you may terminate the engagement in accordance with the notice period set out in your SOW.

Governing Law & Disputes

These Terms and any dispute or claim arising from or in connection with them shall be governed by and construed in accordance with applicable law. Any disputes shall first be subject to good-faith negotiation between the parties.

If a dispute cannot be resolved informally within 30 days of written notice, the parties agree to pursue resolution through mediation before initiating formal legal proceedings.

EU-based clients retain all applicable statutory consumer and business protection rights under EU and national law, which are not affected by these Terms.

For EU clients, online dispute resolution is available through the European Commission's ODR platform at ec.europa.eu/consumers/odr.
